Practical explanation

Understanding the law

Purpose and legislative background

The Decree-Law is a major consolidation and modernisation of the federal framework for the Central Bank and regulated financial services. It brings central-banking powers, prudential regulation, licensed financial activities, insurance, payment infrastructure, customer protection, financial inclusion, early intervention and resolution into a single statutory architecture.

Article 185 expressly repeals Federal Decree-Law No. 14 of 2018 on the Central Bank and Federal Decree-Law No. 48 of 2023 regulating insurance activities, subject to the transition rules in the new framework.

Scope and who it applies to

The Decree-Law applies across the Central Bank regulatory perimeter: banks and other licensed financial institutions, insurance businesses and related professions, Islamic financial institutions, authorised persons performing designated functions, payment and financial-market infrastructure operators, and other persons expressly brought within the statutory scope. Financial free zones and their regulated institutions require separate analysis under the scope provision and other applicable legislation.

Key definitions

Article 1 contains an extensive definitions framework. The classification of an activity as a Licensed Financial Activity, an entity as a Licensed Financial Institution, a person as performing a Designated Function, or infrastructure as a Financial Market Infrastructure determines the applicable licence, prudential and enforcement regime. Article 187 separately clarifies digital-currency terminology and the distinction from virtual assets.

Main rights and obligations

  • Obtain and maintain the correct Central Bank licence or authorisation before carrying on a covered activity or designated function.
  • Meet minimum capital, governance, prudential, reporting and ownership requirements applicable to the institution type.
  • Comply with Central Bank regulations, standards, instructions and Rulebook requirements.
  • Maintain customer-protection, fraud-prevention, disclosure and complaint-handling controls.
  • For insurers, maintain the required technical, actuarial, solvency, reinsurance and policy controls.
  • For payment and infrastructure operators, comply with licensing, designation, settlement-finality and oversight rules.

Procedures and compliance

The statute works together with the CBUAE Rulebook. A regulated entity should maintain a legal obligations register linking the Decree-Law, Board decisions, regulations, standards, supervisory notices and institution-specific licence conditions. The law also provides examination and information-gathering powers, reporting obligations, early-intervention tools and a formal grievances/appeals route.

Deadlines and time limits

The Decree-Law has been in force since 16 September 2025. Article 184 requires regulated persons and entities to reconcile their positions within one year from entry into force, while allowing the Board to extend that period. Other deadlines—for licensing decisions, notifications, grievances, financial reporting and intervention—are article-specific and should be checked directly.

Enforcement, violations and penalties

The law provides a broad enforcement ladder: supervisory instructions, licensing restrictions, early intervention, resolution, administrative sanctions and criminal penalties for specified conduct. Articles 168–181 contain criminal penalty provisions. Penalties can depend on the actor, regulated activity, amount or seriousness of the breach; this package therefore points readers to the official article for exact sanctions rather than compressing them into an unreliable table.

Practical scenarios

  • A bank launches a new digital financial product: it checks the licensing perimeter, emerging-technology provisions, customer protection and applicable Rulebook modules.
  • An insurer reviews capital and actuarial processes under the integrated Central Bank regime.
  • A licensed institution shows deteriorating capital or liquidity metrics: early-intervention and recovery/resolution requirements become relevant.
  • A payments operator expands infrastructure: it reviews FMI/payment licensing, designation, settlement finality and oversight provisions.
  • A group appoints a senior officer: it checks whether the role is a designated function requiring Central Bank authorisation.

Amendments and related legislation

The Decree-Law replaced the principal Federal Decree-Law No. 14 of 2018 and Federal Decree-Law No. 48 of 2023. Existing regulations and technical terms can continue under transitional provisions until replacement where the statute permits. The CBUAE Rulebook is the operational source for current subordinate requirements.

What businesses and individuals should check

  • Exact licence category and permitted activities.
  • Ownership, controller and governance approvals.
  • Capital, liquidity, provisioning and prudential requirements.
  • Customer-protection and complaint-resolution processes, including the applicable Sanadak framework.
  • Insurance technical provisions, solvency, actuarial and reinsurance requirements where relevant.
  • Payment/FMI licensing and settlement rules.
  • The Article 184 transition timetable and any CBUAE extension or guidance.

When professional interpretation may be useful

Interpretation may be useful for complex licensing-perimeter questions, group restructuring, acquisitions, enforcement, early-intervention or resolution measures, financial-free-zone interactions, insurance portfolio transfers, designated-function approvals and digital-currency or payment-infrastructure projects.

Practical notes

  • Policies should be re-mapped from the repealed 2018 Central Bank law and 2023 insurance law to the 2025 Decree-Law and current CBUAE Rulebook.
  • Firms should check the one-year reconciliation requirement and any extension or supervisory transition direction issued by CBUAE.
  • Penalty and licensing requirements should be verified at article level and against the current Rulebook before implementation.
