Setting Aside Arbitral Awards

Short answer: Setting aside is the seat court’s limited supervisory review of an arbitral award. It is not an appeal on the merits. In an onshore UAE-seated arbitration, Federal Law No. 6 of 2018 provides an annulment action with a 30-day period after notification of the award. A DIFC-seated arbitration is challenged only before the DIFC Court, generally within three months. An ADGM-seated arbitration follows the ADGM Arbitration Regulations 2015, also with a three-month period. The applicant must prove a recognised ground such as an invalid arbitration agreement, lack of notice, excess of jurisdiction, improper tribunal constitution, serious procedural irregularity, non-arbitrability or public policy.

The court does not normally rehear witnesses, recalculate damages or substitute its interpretation of the contract for the tribunal’s. A set-aside application succeeds only when the statutory threshold is met and the defect matters to the award. A party that waits, pleads a broad merits appeal or files in the wrong court can lose its only recourse while incurring enforcement and security costs.

This article explains annulment of UAE-seated, DIFC-seated and ADGM-seated awards, including deadlines, grounds, correction requests, court procedure, partial awards, confidentiality, enforcement consequences and practical drafting. It is general information, not legal advice on a specific award.

1. What “setting aside” means

Annulment is supervisory, not appellate

Setting aside, annulment and nullity describe the seat court’s power to invalidate an award on limited statutory grounds. The court asks whether the arbitration was legally constituted and procedurally fair, whether the tribunal stayed within its submission and whether enforcement would offend mandatory law or public policy. It does not ask whether it would have reached the same factual or contractual conclusion.

This distinction is fundamental. A tribunal can make an error of fact or law without creating a ground for annulment. The applicant must connect the alleged defect to a statutory ground and explain how it affected the award. A long merits brief that never identifies the relevant statutory paragraph is usually weaker than a focused application supported by the arbitration record.

Set aside versus correction

A typographical, clerical or computational error is normally addressed first through the tribunal’s correction or interpretation mechanism. DIAC Rules 2022 Article 37 allows a party, within 30 days of receiving the award, to request interpretation or correction of specified errors. A correction request cannot be used to reopen findings or change the substance of the award. The applicant must preserve the separate deadline for court recourse.

Set aside versus refusal of enforcement

The seat court may set aside its award. An enforcement court in another jurisdiction may refuse recognition on treaty or local grounds. The two proceedings are related but distinct. A losing party should not assume that an enforcement objection extends the deadline for a seat-court annulment action, and a successful annulment order may not automatically terminate every foreign enforcement application.

2. The seat determines the challenge court

Seat, institution and hearing venue

The legal seat is the juridical home of the arbitration. It determines the arbitration statute and the court with primary supervisory jurisdiction. The institution administers the case under its rules. The hearing venue is where evidence or submissions are heard and may be changed for convenience. A DIAC hearing in Dubai does not, by itself, establish a Dubai onshore seat; a hearing in ADGM does not automatically create an ADGM seat.

Read the arbitration clause, incorporated rules, procedural orders and applicable decree together. DIAC’s rules permit the parties to choose the seat and contain a default mechanism where the clause is silent. The resulting seat controls the annulment court even if the tribunal, counsel and witnesses are located elsewhere.

One award, one primary annulment forum

Parties should not file parallel set-aside actions in Dubai onshore, DIFC and ADGM merely because the transaction touches all three jurisdictions. A court that is not the seat court may dismiss for lack of jurisdiction or treat the filing as an impermissible collateral attack. Identify the juridical seat before drafting the claim, and preserve an objection if the other party files in the wrong forum.

3. Onshore UAE: Federal Law No. 6 of 2018

Only an annulment action or an objection during confirmation

Federal Law No. 6 of 2018 provides that an award may be challenged only through an action for annulment before the competent court or during consideration of a request to confirm the award. This is not an ordinary appeal. The applicant must prove one or more statutory grounds and should attach the award, arbitration agreement, procedural record and evidence supporting the specific complaint.

Thirty-day deadline

Article 54(2) states that an annulment action is not heard after 30 days following notification of the award to the party seeking annulment. The trigger is not necessarily the date printed on the award. Establish the date, method and recipient of notification, and calculate the last day under the applicable procedural rules. If the tribunal issues a correction or interpretation, obtain advice on whether the event affects the period and do not wait to file a protective action.

The short period makes internal escalation essential. The client’s project team, finance team, external counsel and authorised signatory should have a same-day process for preserving the award and confirming service. A party that waits for a full merits review may discover that the annulment period expired before the legal issue was identified.

Effect of the annulment judgment

Article 54 provides that the judgment on annulment is final subject to cassation. If the award is annulled in whole or in part, the consequences follow the scope of the judgment. The arbitration agreement generally survives unless the annulment is based on absence, expiry, invalidity or non-enforceability of the agreement itself. A new arbitration may therefore be possible if the court’s order removes only the award and not the clause.

4. DIFC: Article 41 and the three-month period

Exclusive recourse to the DIFC Court

Article 41 of the DIFC Arbitration Law provides that recourse against an award made in the DIFC seat may be made only by an application for setting aside to the DIFC Court. The statutory grounds track the Model Law: incapacity or invalid arbitration agreement, lack of notice or inability to present the case, excess of submission, irregular tribunal or procedure, non-arbitrability and conflict with UAE public policy.

DIFC Courts decisions repeatedly emphasise that Article 41 is not a merits appeal. The applicant bears the burden of proving the gateway ground, and the court retains a discretion whether to set aside where the statutory test is met. The application should therefore identify the precise defect, its material effect and the order sought.

Three-month period

DIFC Court Rule 43.54 requires an application within three months after the applicant received the award. If a correction or interpretation request was made under Article 40, the period runs from disposal of that request. The parties may agree a longer period in writing. Rule 43.55 requires the claim form to state the Article 41(2) grounds and whether the applicant seeks suspension so the tribunal can resume proceedings or take action to remove the defect.

Suspension and cure

The DIFC Court may suspend the set-aside proceedings to give the tribunal an opportunity to resume the arbitration or take other action that eliminates the ground. The applicant should consider whether the alleged defect is curable. A correction of an omitted dispositive paragraph may be more proportionate than nullifying an otherwise valid award, but a cure request cannot deprive the party of its statutory deadline.

5. ADGM: Arbitration Regulations 2015

Model Law-based framework

ADGM’s Arbitration Regulations 2015 provide a self-contained framework for arbitration seated in ADGM and are based on the UNCITRAL Model Law. The ADGM Court is the supervisory court for a challenge to an ADGM-seated award. Federal arbitration provisions do not automatically replace the ADGM Regulations for an arbitration to which the Regulations apply.

Section 58 grounds and deadline

Section 58 provides exclusive recourse by an application to set aside. The grounds include incapacity or invalidity of the arbitration agreement, lack of proper notice or opportunity to present the case, excess of submission, irregular tribunal or procedure, non-arbitrability and conflict with UAE public policy. The application generally must be made within three months after receipt of the award, subject to the correction, review and written-extension provisions in the Regulations.

ADGM Court forms include claims and application notices for arbitration matters. Use the current form and support the claim with a clear witness statement, the award, clause, rules, procedural orders, proof of notification and the relevant documents. An application drafted as a general complaint about the tribunal’s reasoning is unlikely to satisfy section 58.

6. Grounds for annulment

The details vary by seat, but the principal grounds are similar. The table below is a working framework; the pleaded wording must be checked against the seat statute and the current court rules.

GroundWhat must be shownTypical evidence
Invalid arbitration agreementNo agreement, incapacity, invalidity under the chosen clause law or an expired or non-binding clause.Signed contract, authority, amendments, incorporation terms and governing-law evidence.
Notice or inability to present the caseMaterial denial of notice, hearing opportunity or ability to present evidence and submissions.Service records, procedural orders, hearing transcripts, correspondence and requests for extensions.
Excess of jurisdictionThe award decides a dispute or relief outside the submission, or beyond the scope of the clause.Notice of arbitration, terms of reference, pleadings, issues list and dispositive section.
Improper compositionTribunal appointment or composition breached the agreement or mandatory seat law.Appointment notices, challenge decisions, conflicts disclosures and institutional file.
Procedural irregularityThe agreed procedure or mandatory seat procedure was materially breached and affected the award.Rules, procedural orders, hearing directions, excluded evidence and reasoned objections.
Failure to follow agreed law or formWhere the seat statute recognises it, the tribunal failed to apply the chosen law or exceeded a mandatory form requirement.Choice-of-law clause, submissions on applicable law and award reasoning.
Time-limit or issuance defectThe award was not issued within a mandatory or agreed period and the defect is legally material.Constitution date, extensions, procedural orders and award date.
Non-arbitrabilityThe subject matter cannot legally be resolved by arbitration in the seat.Nature of relief, mandatory statute and public-law classification.
Public policyRecognition would violate fundamental UAE public policy or mandatory principles.Evidence of illegality, corruption, sanctions, fundamental due-process failure or prohibited relief.

Materiality and prejudice

Not every procedural imperfection is enough. The applicant should show that the defect was material, not merely technical, and that it affected the award or the ability to present the case. A party that received notice, participated fully and waited until an unfavourable result may face a waiver or prejudice argument if it later complains about a minor procedural order.

Partial setting aside

Where the offending part can be separated from the matters properly submitted, courts may set aside only the excess portion. The applicant should identify the exact dispositive paragraphs and explain why the valid portion can stand or why the defect infects the entire award. A request for total annulment without a severability analysis can weaken the application.

7. Procedure, evidence and timing

First 24 hours

  • Save the award, transmission email, portal record and proof of receipt.
  • Identify the seat and the exact annulment deadline.
  • Check whether correction, interpretation or additional-award requests are available.
  • Preserve the arbitration agreement, rules, procedural orders and hearing record.
  • Notify management, insurers, lenders and enforcement counsel of the risk.

Statement of grounds

A good application is organised by statutory ground. For each ground, state the rule, the relevant procedural event, the evidence, the material effect and the remedy. Avoid duplicating the merits submissions. If the complaint is that the tribunal misread a contractual clause, explain why it is actually an excess-of-jurisdiction, agreed-law or public-policy issue; otherwise the court may treat it as an impermissible appeal.

Record-based evidence

Set-aside cases are decided primarily on the arbitration record. The applicant should file the award and the documents necessary to establish the defect, not every document exchanged in the arbitration. Keep confidential material proportionate and request directions if sensitive commercial information must be filed. A procedural order, transcript or email may be more persuasive than a new witness statement that merely disagrees with the tribunal.

Jurisdiction and court competence

File in the court of the seat and confirm the applicable division, court form, service address, filing fee and language. In Dubai-related arbitrations, distinguish Dubai onshore from DIFC. In Abu Dhabi-related matters, distinguish onshore Abu Dhabi from ADGM. The institution’s office and the hearing venue are not substitutes for a seat analysis.

Confidentiality

Arbitration confidentiality may be affected by court filings. Ask for appropriate directions, redactions or sealing where available, but do not assume that every exhibit is automatically confidential once a set-aside action begins. Coordinate the court record with parallel enforcement filings and public-company disclosure obligations.

8. Correction, interpretation and remittal

Use the tribunal’s limited correction power

DIAC Rules 2022 Article 37 permits correction of clerical, typographical, computational or similar errors and interpretation of the award. It does not permit a party to reargue liability or quantum. The request should identify the exact text, the proposed correction and why it fits the permitted category.

Protect the annulment deadline

A correction request can interact with the set-aside period, but the safest practice is to calculate the original deadline and file protectively if there is uncertainty. In DIFC and ADGM, the rules expressly address the effect of a correction or review request. For an onshore UAE award, obtain advice based on the date and form of notification, and do not assume that a tribunal request suspends Article 54.

Remit rather than annul

Some seat laws allow a court to suspend proceedings and give the tribunal an opportunity to cure a defect. Remittal can preserve the parties’ chosen tribunal and avoid restarting a complex arbitration. It is appropriate only where the issue is curable and the tribunal can act without changing the substance of the award. A party should not accept a cure that exceeds the tribunal’s jurisdiction.

9. Enforcement while a challenge is pending

Domestic seat and foreign enforcement

A pending set-aside application can affect confirmation or execution at the seat and may be relevant to recognition abroad. An enforcement court may adjourn, require security or proceed subject to the applicable treaty and local law. The applicant should disclose the challenge accurately and explain whether the award remains binding under the seat law.

Foreign seat and UAE enforcement

If a foreign award is challenged at its seat, a UAE enforcement court may consider the Convention’s set-aside ground and any request for adjournment. The losing party must show the actual application or order; an unverified allegation that the award is “under appeal” is not enough. The winning party should be ready to provide security or address why the challenge is tactical or unlikely to succeed.

Security and asset preservation

A party seeking a stay should consider whether the court may require security. A creditor seeking enforcement should investigate the debtor’s assets and request proportionate protection where dissipation is a real risk. Asset-preservation measures do not replace the need to meet the statutory grounds and deadlines.

10. Applicant and respondent strategy

For the applicant

  • Start with the seat and deadline, not the merits narrative.
  • Use the exact statutory wording and cite the procedural record.
  • Separate jurisdiction, due process, composition, public policy and form arguments.
  • Explain materiality, prejudice and why the requested remedy is proportionate.
  • Ask for partial annulment or remittal where total annulment is unnecessary.
  • Coordinate the action with enforcement, security and disclosure strategy.

For the respondent

  • Check whether the claim was filed within the applicable period and in the seat court.
  • Raise waiver, estoppel, consent and failure to object during the arbitration.
  • Demonstrate actual participation, notice and opportunity to present the case.
  • Show that the complaint is a merits appeal disguised as a statutory ground.
  • Prove that any alleged excess is severable or did not affect the disposition.
  • Address enforcement, security, interest and the status of any parallel proceeding.

Drafting lessons for future clauses

Name the seat precisely, select the institution and rules separately, state the language and tribunal composition, and define notification channels. A clear clause reduces later arguments about the competent court, the correction process and the deadline. Contract teams should also preserve an internal calendar for objections to tribunal jurisdiction and procedural irregularities, because silence can later support a waiver argument.

11. Worked scenarios

Onshore UAE award, notice dispute

A DIAC arbitration is seated in Dubai onshore. The award is emailed to an outdated address, but the losing party receives it through the DIAC portal and starts discussing payment. Thirty days later it files annulment. The court will examine notification under the Federal Arbitration Law and the actual evidence of receipt. The party should not assume that an email defect automatically resets the period or proves denial of due process.

DIFC award, alleged merits error

A DIFC-seated tribunal rejects a contractor’s extension-of-time claim. The contractor argues that the tribunal misunderstood the programme evidence and applies to set aside. Unless the complaint can be connected to excess of submission, inability to present the case, an agreed procedural breach or another Article 41 ground, it is a merits appeal and should fail. The court will not reweigh the delay evidence simply because another decision-maker might have preferred a different analysis.

ADGM award, partial excess

An ADGM tribunal awards relief under a financing document that was not within the arbitration submission, while deciding the main contract claims properly. The applicant identifies the extra paragraphs and asks the ADGM Court to set aside only the separable excess. The court considers the section 58 grounds, the wording of the submission and whether the valid part can stand.

Correction request and deadline

A DIAC award contains a multiplication error in the interest calculation. The party requests correction under Article 37 and separately calendars the court deadline. The tribunal corrects the number without changing the findings. The party then relies on the corrected award for enforcement. It does not use the correction request to reopen the liability decision.

12. Checklist and FAQs

Set-aside checklist

  • Identify the juridical seat and supervisory court.
  • Record the exact date and method of award notification.
  • Calculate the Federal 30-day period or the DIFC/ADGM three-month period.
  • Check correction, interpretation and additional-award options without losing the court deadline.
  • Obtain the arbitration agreement, rules, procedural orders and award record.
  • Map each allegation to a statutory ground and prove materiality.
  • Analyse waiver, estoppel and timely objections during the arbitration.
  • Identify whether partial annulment or remittal is more appropriate than total annulment.
  • Coordinate with enforcement, security, insolvency and asset-preservation strategy.
  • Confirm filing form, court fee, service, language and confidentiality requirements.

Frequently asked questions

Can I appeal the merits of an arbitral award?

Generally no. Setting aside is a limited supervisory remedy. A disagreement with the tribunal’s factual findings, contract interpretation or damages calculation is not automatically a statutory ground.

What is the UAE onshore deadline?

Federal Law No. 6 of 2018 Article 54(2) provides a 30-day period after notification of the award to the party seeking annulment. Confirm the notification evidence and procedural calculation immediately.

What is the DIFC deadline?

DIFC Court Rule 43.54 provides three months from receipt of the award, or from disposal of a permitted correction or interpretation request, subject to any written extension agreed by the parties.

What is the ADGM deadline?

Section 58 of the ADGM Arbitration Regulations 2015 generally requires an application within three months, subject to the Regulations’ provisions concerning correction, review and written extensions.

Can the tribunal fix the problem after the award?

Sometimes. Limited correction, interpretation, additional-award or remittal mechanisms may cure a curable defect. They cannot be used to rewrite the merits, and a party must protect the court deadline while seeking a cure.

Does setting aside stop enforcement everywhere?

Not automatically. The seat court’s annulment order is highly significant, but each enforcement court applies its own treaty and procedural law. A pending challenge may lead to an adjournment, security or refusal depending on the forum.

Can a foreign court set aside a UAE-seated award?

Normally the court of the juridical seat has primary annulment jurisdiction. A foreign court may have powers relevant to enforcement or interim relief, but it should not be treated as the substitute seat court without a specific legal basis.
