Challenging an FTA Decision in the UAE: Reconsideration, Tax Dispute Committees, and Court Appeals

A Federal Tax Authority decision can affect a company’s cash flow, tax registration, refund position, administrative penalties, customs planning, and financial statements. The UAE tax-dispute system provides staged routes for challenging an FTA decision: an assessment review where applicable, reconsideration by the FTA, an objection before the Tax Disputes Resolution Committee, and an appeal before the competent court.

These routes are procedural. A taxpayer can have a strong technical argument and still lose access to a forum by missing a business-day deadline, failing to pay the required tax, filing against the wrong decision, or submitting an incomplete Arabic record. The response should therefore begin as soon as the FTA notice is received, not when enforcement action becomes imminent.

Legal-information note: this article is general information and is not advice on a particular VAT, excise, corporate-tax, refund, assessment, penalty, or tax-registration dispute. The taxpayer should verify the current Arabic legislation, the EmaraTax notice, applicable executive regulations, and the filing instructions displayed by the FTA and Ministry of Justice at the time of filing.

What can be challenged?

Reconsideration is directed at an official decision issued by the FTA in connection with the person concerned, in whole or in part. The FTA’s service guidance distinguishes an official decision from a general enquiry response, complaint response, or informal clarification. A business should identify the document’s title, date, notification method, tax period, assessment or penalty reference, and the legal effect before selecting a remedy.

Potentially challengeable decisions may include tax assessments, administrative penalties, decisions on a tax assessment review, refund or recovery positions, registration-related decisions, and other formal determinations. A document that merely explains a position may require a different response, such as a voluntary disclosure, clarification request, objection to a later assessment, or judicial review under the applicable procedure.

Stage one: tax assessment review

Article 28 of Federal Decree-Law No. 28 of 2022 on Tax Procedures provides a specific review route for a Tax Assessment and related administrative penalties. The request should state the reasons and be filed within the statutory business-day period from notification. The FTA then reviews the request and issues and notifies its decision under the periods prescribed by the law.

A reconsideration request concerning an assessment for which an assessment-review request has been filed should generally wait until the FTA decides the review or the statutory decision period expires. The FTA’s online guidance also warns that a reconsideration request cannot be filed while the assessment review remains pending. Maintain a procedural calendar showing the original notice, the review filing, the deemed-decision date if relevant, and the date on which reconsideration becomes available.

Do not treat an assessment review as a general extension of time. It is a substantive filing that should identify the disputed calculation, tax period, transaction, legal provision, and evidence. A short request reserving all rights without a developed explanation may not protect the taxpayer’s position.

Stage two: FTA reconsideration

Article 29 allows a person to ask the FTA to reconsider any decision, or part of a decision, issued by the FTA in connection with that person. The request must be reasoned and submitted through the form and mechanism specified by the FTA.

The current Tax Procedures Law text states a 40-business-day period from notification of the decision. The FTA’s current reconsideration service page also states that the request must be raised within 40 business days and permits a taxpayer to request an extension under Federal Tax Authority Decision No. 1 of 2025. The extension should never be assumed; the taxpayer should apply promptly and document the reason, the notification date, and the requested period.

The request should identify:

  • The applicant, tax-registration number, authorised representative, and electronic contact details.
  • The exact FTA decision, notification date, tax type, tax period, assessment or penalty reference, and amount in dispute.
  • The relief requested, such as cancellation, reduction, correction, reclassification, refund, or remittal for reconsideration.
  • The factual chronology and the documents that prove each material fact.
  • The legal grounds, including the relevant tax law, executive regulation, FTA decision, guidance, contract, invoice, accounting entry, or customs record.
  • A schedule reconciling the taxpayer’s calculation to the FTA’s calculation, line by line.

The FTA’s service information says that the application should be submitted by the concerned person, appointed Tax Agent, or appointed Legal Representative. A tax adviser who is not a registered Tax Agent may not be able to submit a reconsideration request on behalf of another person. A Tax Group application should be made by the Representative Member where the rules require it.

How long does the FTA have to decide?

The published materials are not fully consistent. The current Tax Procedures Law text available through UAE legislation states that the FTA decides a reconsideration request within 40 business days and notifies the applicant within five business days of issuing the decision. The FTA’s online service page and the UAE Government tax-dispute page state that the FTA may take up to 45 business days to respond, and the FTA page refers to an extension.

This difference should be treated as a live procedural risk, not ignored. The taxpayer should calculate the earliest and latest possible dates, monitor the EmaraTax status, retain proof of submission and completion, and obtain advice if no decision is issued. The article is not a substitute for checking the current Arabic text, any applicable executive-regulation extension, the notification received, and the instructions displayed by the FTA at the time of filing.

Stage three: objection before the Tax Disputes Resolution Committee

If the taxpayer disagrees with the FTA’s reconsideration decision, or the FTA does not issue the decision within the applicable procedure, the dispute can move to the Tax Disputes Resolution Committee. The Committee operates under the Ministry of Justice’s administrative and financial supervision. The FTA identifies committees in Abu Dhabi, Dubai, and Sharjah, with territorial arrangements generally linked to the taxpayer’s tax-registration address and special treatment for foreign companies without an address in the UAE.

Article 32 requires the objection to the Committee to be submitted within 40 business days from notification of the FTA’s reconsideration decision. The objection is generally inadmissible if:

  • No reconsideration request was submitted to the FTA first.
  • The full tax that is the subject of the objection has not been paid.
  • The objection was filed after the statutory time limit.

The full-tax requirement is a cash-flow issue as well as a procedural issue. The finance team should reserve liquidity, assess whether payment can be made without prejudice, and retain payment evidence. If the amount is disputed across several tax periods or decisions, the taxpayer should identify exactly which tax has been paid and which administrative penalties remain outstanding.

Preparing the Committee objection

The FTA’s objection guidance requires applicant details, a summary of the subject and requested relief, supporting documents, electronic notification details for the legal representative or Tax Agent, and documents relating to the grounds of objection. The objection should be prepared in Arabic as required by the current procedure, with a clear translation strategy for accounting schedules, contracts, expert reports, and technical evidence.

A persuasive objection is structured as a decision record:

  1. Decision under challenge: identify the exact FTA findings and the parts accepted or disputed.
  2. Issues: state each question separately, such as place of supply, input-tax recovery, taxable value, evidence of export, penalty calculation, or registration obligation.
  3. Facts: provide a short chronology supported by numbered documents.
  4. Law: explain the applicable provision and why the FTA’s interpretation or application is incorrect.
  5. Evidence: connect every material fact to an invoice, contract, customs declaration, bank record, accounting ledger, email, system record, or witness or expert explanation.
  6. Relief: state the exact amount and decision wording requested.

The Committee gives the parties an opportunity to respond to the other side’s submissions. Do not submit a document dump. A numbered index, chronology, issue matrix, calculation schedule, and concise reply to the FTA’s reasoning make the evidentiary record easier to follow.

Committee decision and finality threshold

The Committee is required to decide an objection within 20 business days from receipt, with a possible extension under the applicable procedure. It must notify the objector and the FTA within five business days of issuing the decision.

Under the Tax Procedures Law, the Committee’s decision is final for an objection where the total Due Tax and Administrative Penalties specified in the decision do not exceed AED 100,000. The finality rule should be assessed against the amount and the decision, not only the taxpayer’s preferred calculation.

In disputes exceeding AED 100,000, the Committee’s decision becomes an executory instrument if it is not challenged before the competent court within 40 business days from notification of the objection outcome. A taxpayer should therefore prepare a court strategy while the Committee matter is pending rather than waiting for the notification date.

Stage four: appeal before the competent court

Article 36 allows the FTA or the person concerned to appeal the Committee’s decision before the competent court within 40 business days from notification, including where the Committee has not issued a decision in accordance with the law. The court stage is not a fresh opportunity to submit an unstructured tax file. The appellant should identify legal errors, evidentiary errors, procedural defects, misapplication of the tax law, and the precise relief sought.

The court may treat the appeal as inadmissible if the Committee objection itself was inadmissible, if the person has not proved payment of the full tax to the FTA, or if the person has not paid at least 50% of the administrative penalties determined by the Committee or court, either in cash to the FTA or through an approved bank guarantee in favour of the FTA. The current law should be checked for any Cabinet modification to the amount or percentage.

Before filing, obtain a payment certificate, bank-guarantee approval where relevant, the Committee decision and notification proof, the complete objection file, and the court’s filing requirements. Confirm the competent court and any required advocate, Arabic pleading, power of attorney, expert evidence, filing fee, and service procedures.

ActionWorking rulePractical control
Assessment reviewUse the period stated in Article 28 and the notice; current published law materials indicate a 40-business-day filing period.Calendar notification, tax period, assessment, penalties, filing, and decision dates.
FTA reconsideration40 business days from notification under the current law text and FTA service terms.File early; preserve proof of a completed—not merely saved—EmaraTax application.
FTA decisionThe law text and public pages currently display different decision-period language, including 40 and 45 business days.Track both dates and verify the live notice and current Arabic procedure.
Committee objection40 business days from notification of the FTA reconsideration decision; full tax subject to the objection must be paid.Obtain payment confirmation before filing and prepare Arabic submissions.
Court appeal40 business days from notification of the Committee decision or relevant non-decision.Prepare admissibility proof, including full tax and the required administrative-penalty payment or bank guarantee.

Business days, notification, deemed notification, extensions, and system timestamps can affect the calculation. Use a conservative internal deadline that is earlier than the statutory deadline and obtain written confirmation if an extension is requested or granted.

Evidence that usually matters

Tax disputes are won or lost on the connection between the legal rule and the underlying transaction. Build the evidence file by issue rather than by department:

  • Transaction evidence: contracts, purchase orders, invoices, credit notes, delivery records, customs declarations, bills of lading, and proof of payment.
  • Tax treatment: returns, ledgers, tax invoices, tax codes, reconciliations, voluntary disclosures, refund applications, and prior FTA correspondence.
  • Supply and location: proof of movement, customer location, export, receipt, performance, installation, use, or entitlement to a specific tax treatment.
  • Authority record: audit notices, information requests, meeting minutes, FTA findings, assessment, penalty calculation, reconsideration filing, and notification proof.
  • Governance: board approvals, tax-control policies, adviser instructions, staff training, system change logs, and evidence of reasonable care.
  • Expert analysis: accounting, customs, valuation, engineering, technology, or industry reports where the issue cannot be explained by documents alone.

Keep originals, metadata, system exports, and a chain of custody. If a document is not in Arabic, plan translation and certification requirements early. Do not edit a ledger or reconstruct a file without preserving the original and documenting the correction.

Common mistakes

  • Counting calendar days instead of business days or counting from the wrong notification event.
  • Saving a draft in EmaraTax and assuming that the request was submitted.
  • Filing reconsideration against a clarification, complaint response, or informal email rather than an official decision.
  • Submitting reconsideration while an assessment-review request is still pending.
  • Challenging before the Committee without paying the full tax subject of the objection.
  • Waiting for the Committee decision before analysing the court’s 40-business-day window.
  • Paying the tax but failing to document payment or failing to address the required administrative-penalty payment or bank guarantee for court appeal.
  • Relying on a general narrative without a transaction-by-transaction calculation.
  • Submitting English-only evidence when Arabic pleadings or translations are required.
  • Assuming that a pending objection automatically suspends all collection or enforcement steps without confirming the applicable rule.

Internal response plan after an FTA decision

  1. Freeze the notice: save the original PDF, portal message, email, timestamp, and attachments in a restricted matter folder.
  2. Appoint a response team: include tax, finance, legal, accounting, operations, and the authorised Tax Agent or representative.
  3. Build the deadline chart: calculate the review, reconsideration, Committee, and court dates with conservative buffers.
  4. Separate facts from assumptions: identify what the FTA accepted, what it inferred, and what documents are missing.
  5. Quantify exposure: separate tax, administrative penalties, interest or collection effects, professional costs, and cash needed for admissibility.
  6. Choose the route: confirm whether assessment review, reconsideration, refund correction, voluntary disclosure, or another process is appropriate.
  7. Preserve evidence: issue a legal hold for ledgers, emails, contracts, system records, customs files, and adviser communications.
  8. File and monitor: verify the portal submission, receipt, notification address, requests for information, and every decision date.
  9. Prepare the next stage: draft the Committee or court record before the current stage ends.

Frequently asked questions

How long do I have to request reconsideration?

The current Tax Procedures Law text and FTA service terms state 40 business days from notification of the FTA decision. Apply promptly and verify any extension mechanism and the notification date in the live file.

Does an FTA clarification count as a decision?

Not necessarily. FTA guidance states that general enquiries, complaints, and clarifications are not official decisions eligible for reconsideration. The document must be analysed by its legal effect and wording.

Must the full tax be paid before going to the Committee?

Article 32 provides that an objection is not accepted if the full tax subject of the objection has not been paid, subject to any applicable Cabinet modification or prescribed procedure.

How long does the Committee take?

The law provides a 20-business-day decision period and allows an extension under the applicable procedure. The Committee must notify the parties within five business days after issuing its decision.

Can I appeal every Committee decision to court?

Not in the same way. A Committee decision is final for disputes where the total Due Tax and Administrative Penalties do not exceed AED 100,000. Larger disputes may be appealed within the statutory 40-business-day period, subject to admissibility requirements.

What must be paid for a court appeal?

The appellant must prove payment of the full tax to the FTA and at least 50% of the administrative penalties determined by the Committee or court, either in cash or through an approved bank guarantee, subject to the current law and any Cabinet amendment.

Can a Tax Agent file for the taxpayer?

FTA service guidance allows an appointed Tax Agent or Legal Representative to submit a reconsideration request, subject to the authority’s requirements. A non-registered tax adviser may not submit on behalf of another person.

Should the submission be in Arabic?

FTA dispute guidance indicates that reconsideration and Committee materials should be filed in Arabic with supporting documentation. Arrange compliant translations and preserve the original documents before the deadline.

HZ Legal practical view

A tax dispute should be managed like a time-sensitive litigation matter: secure the notice, calculate the deadline, protect the cash position, build the evidence, and decide the next forum before procedural rights expire. The strongest submissions connect each tax-law proposition to a documented transaction and a precise calculation.

HZ Legal can assist with FTA decision analysis, assessment review, reconsideration requests, Tax Disputes Resolution Committee objections, court appeals, payment and bank-guarantee strategy, Arabic legal submissions, evidence organisation, and settlement or enforcement planning.
